Terms of Service
End-User License Agreement · Base 10 Project Console and Base 10 Timer apps · Effective August 15, 2026
These Terms of Service ("Terms") govern use of the Base 10 Project Console at app.base10consultants.com (the "Console"), including its integration with Intuit QuickBooks Online, and the Base 10 Timer apps for iPhone, Apple Watch, and Mac (the "Timer Apps"), all operated by Base 10 Consultants LLC ("Base 10," "we," "us"). By accessing or using them, you agree to these Terms.
These Terms do not govern the public website at base10consultants.com or its free tools; those are covered by the base10consultants.com Terms of Use.
What these tools are
The Console is private business software that Base 10 operates for its own operations: scoping and delivering client projects, tracking time, invoicing, paying subcontractors, and reconciling that activity with its accounting records. The Timer Apps are companion apps for logging time against assigned work. Neither is offered as a product to the public, and neither is available by self-service sign-up.
Access
Access is granted by Base 10 and only to the extent it is needed:
- Personnel and subcontractors receive an account by invitation, and a device access key for the Timer Apps. Both can be revoked at any time.
- Clients receive single-purpose links to review and sign engagement documents or to view a project status report. A link is issued for one recipient and one purpose, and may expire or be revoked.
You are responsible for keeping your credentials, access keys, and links confidential, and for activity that occurs under them. Tell us promptly if you believe any of them has been compromised.
License
We grant a limited, non-exclusive, non-transferable, revocable license to use the Console and the Timer Apps solely for the Base 10 business purposes for which access was granted, and in accordance with these Terms. All rights not expressly granted are reserved. Base 10 retains all right, title, and interest in the software.
Acceptable use
- Use these tools only for lawful, authorized business purposes.
- Do not attempt to reverse-engineer, disrupt, probe, or gain unauthorized access to them or to connected systems.
- Do not access records that were not made available to you, or share access links or keys with anyone not entitled to them.
- Do not use these tools to violate the terms of any connected service, including Intuit QuickBooks Online.
Electronic signatures
The Console captures electronic signatures on engagement documents. By signing electronically you agree that your electronic signature is the legal equivalent of a handwritten signature and that the executed document is binding on the party you represent. The terms of any such document govern the engagement itself; these Terms govern only your use of the software.
Accuracy of information
Where you submit information through the Console — including tax information on IRS Form W-9 or Form W-8BEN — you are responsible for its accuracy and for telling us when it changes.
Data & privacy
Information handled by these tools is described in our Privacy Policy. Data obtained from QuickBooks Online is also subject to Intuit's terms.
Third-party services
These tools rely on third-party services, including Intuit QuickBooks Online, Supabase, Cloudflare, Stripe, Mercury, Microsoft 365, and Apple. Your use of those services is governed by their respective terms, and we are not responsible for their availability or conduct.
Availability
We may change, suspend, or discontinue any part of these tools at any time, and we do not guarantee uninterrupted availability.
Disclaimer of warranties
These tools are provided "as is" and "as available," without warranties of any kind, express or implied, including fitness for a particular purpose. We do not warrant that they will be uninterrupted or error-free, or that financial data will be complete or accurate; they are not a substitute for professional accounting, tax, or legal advice.
Limitation of liability
To the maximum extent permitted by law, Base 10 will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data or profits, arising from use of these tools.
Termination
You may stop using these tools at any time, and may revoke the QuickBooks connection from within QuickBooks Online. We may suspend or terminate access at our discretion, including when an engagement or working relationship ends.
Governing law
These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules.
Changes
We may update these Terms from time to time. The effective date above reflects the latest version.
